1. Overview
These Terms of Use ("Terms") govern your access to and use of Trond AI's website, dashboard, APIs and related services (the "Services") operated by Trond AI Ltd ("Trond AI", "we", "us"). By using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
2. What the Service Is (and is not)
Trond AI provides a routing and analytics layer that connects you with third-party generative providers (e.g., fal.ai) and applies scoring to help select models. The media (images, video) are generated and hosted by those third parties, not by Trond AI. We do not permanently store your media. We store minimal metadata about each run (model name, modality, latency, cost, risk) and your feedback ratings to improve routing quality.
3. Eligibility; Business vs Consumer Users
You must be at least 18 and legally capable of entering a contract. The Services are designed primarily for professional/business use. If you use the Services as a consumer (i.e., not for your trade, business or profession), additional rights may apply under UK consumer law (see Section 12).
4. Accounts and Security
You are responsible for safeguarding your account credentials and for all activities under your account. Notify us immediately of any unauthorised use or security breach. We may suspend or terminate access where we reasonably believe there is risk to users or the Service.
5. Fees, Taxes, Renewals and Refunds
Some features are paid. Prices are shown before purchase and may include a premium over third-party compute costs. Fees are exclusive of taxes unless stated. You authorise our payment processor to charge your selected payment method for purchases, renewals and applicable taxes.
Subscriptions or credits renew as stated at checkout. You can cancel future renewals at any time in your account or by contacting us. Unless required by law, paid fees are non-refundable and non-transferable. We may change pricing with reasonable prior notice; price changes apply to future terms only.
6. Acceptable Use
You must not use the Services to: (a) create, upload or share unlawful, infringing, deceptive or harmful content; (b) violate others' intellectual property, privacy or other rights; (c) generate CSAM or content promoting terrorism or hatred; (d) attempt to bypass safety systems, probe or attack the Service; (e) scrape or overload the Service; (f) reverse-engineer, fingerprint or attempt to extract model weights or training data; or (g) violate any third-party provider terms (including fal.ai). We may suspend or terminate access for breach or risk.
7. Your Prompts, Outputs and Licence to Us
Ownership. As between you and Trond AI, you own your prompts and outputs to the extent permitted by law and by the applicable third-party provider terms. Trond AI does not claim ownership of your outputs.
Third-party terms. Your rights in outputs may be governed by third-party terms (e.g., fal.ai). You are responsible for compliance with those terms, including any attribution or licence conditions.
Licence to Trond AI. You grant Trond AI a worldwide, non-exclusive, royalty-free licence to use your prompts, routing metadata and feedback ratings (but not the media files themselves) to operate, secure, and improve the Services, including training and evaluating our routing/quality scoring systems. You may withdraw future use by closing your account; aggregated/anonymised analytics already derived may be retained.
8. Data Protection and Privacy
We process personal data in accordance with our Privacy Policy and Cookie Notice. We minimise data: we store routing metadata and feedback ratings; we do not permanently store your media. Where we reference media for display, we store only the provider's URL.
9. Third-Party Services and Open-Source Software
The Services interoperate with independent third-party providers. Their availability, performance, safety measures and licence terms are outside our control and may change. Your use of any third-party service is governed by its terms. We also use open-source software; notices are available on request or at /open-source-notices if provided.
10. Service Changes; Sunsetting
We may add, change or discontinue features. For material changes that negatively impact you, we will provide reasonable notice. If we discontinue the Services, we will provide a way to export your routing metadata and ratings (not media) for at least 30 days after notice.
11. API Terms (if applicable)
API keys are personal and revocable. Do not share, resell or proxy API access. We may impose or adjust rate limits for stability. We may suspend keys that degrade or threaten the Service.
12. UK Consumer Information and Disclosures
This Section applies where you use the Services as a consumer under UK law.
Digital services. We supply digital services that begin immediately after purchase if you ask us to start at once. By starting immediately, you acknowledge you may lose the 14-day cancellation right once full performance has begun. Where the Consumer Contracts Regulations 2013 apply and you have not asked us to start immediately, you may cancel within 14 days from the day after purchase; we will refund payments received for the unused portion of services. This does not affect your statutory rights.
Quality. Under the Consumer Rights Act 2015, digital services must be performed with reasonable care and skill. If the Services are not provided with reasonable care and skill, you may be entitled to repeat performance or a price reduction. Remedies may be limited where the issue arises from third-party services outside our control or your breach of these Terms.
How to cancel (consumers). To exercise a cancellation right where available, contact us at info@trondfilms.com with your order details. We will confirm receipt and process any refund due (using your original payment method) without undue delay and within 14 days of confirmation, subject to deductions permitted by law for services already performed at your request.
13. Security; Research; Vulnerability Disclosure
Do not probe or test the security or performance of the Service without our prior written permission. Report suspected vulnerabilities responsibly to info@trondfilms.com; we will acknowledge and work to remediate legitimate issues.
14. Confidentiality
Each party will keep the other's non-public information confidential and use it only to perform these Terms. The obligation does not apply to information that is public, independently developed without use of confidential information, or rightfully obtained from a third party without duty of confidentiality. The obligation lasts for five (5) years after disclosure.
15. Warranties and Disclaimers
The Services are provided "as is" and "as available." We do not warrant that outputs will be correct, lawful, or fit for a particular purpose, or that the Services will be uninterrupted or error-free. Generative systems may produce errors or artifacts.
16. Limitation of Liability
Nothing in these Terms limits or excludes liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence. Subject to the foregoing: (a) neither party is liable for indirect or consequential loss, or for loss of profits, revenue, data or goodwill; and (b) Trond AI's aggregate liability arising out of or in connection with the Services will not exceed the greater of £500 or the fees you paid to Trond AI in the three (3) months before the event giving rise to liability.
17. Indemnity
You will indemnify and hold harmless Trond AI from third-party claims, damages and expenses (including reasonable legal fees) arising from your use of the Services, your content, or your breach of these Terms.
18. Export Controls and Sanctions
You represent that you are not a person subject to sanctions and will not access or use the Services in violation of applicable export control or sanctions laws, including UK, EU and US laws.
19. Law Enforcement and Legal Requests
We may preserve or disclose information where required by law or in response to valid legal process, subject to our Privacy Policy.
20. Feedback
You grant us a perpetual, irrevocable, royalty-free licence to use ideas, suggestions or feedback you provide to improve the Services, without obligation to you.
21. Assignment; Third-Party Rights
You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition or sale of assets. No third party has any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.
Governing language. These Terms are drafted in English and that version will prevail.
22. Force Majeure
Neither party is liable for delay or failure to perform due to events beyond its reasonable control, provided it uses reasonable efforts to mitigate effects.
23. Entire Agreement; Severability; Waiver
These Terms constitute the entire agreement between you and Trond AI regarding the Services and supersede prior understandings. If any provision is found unenforceable, the remainder will remain in effect. Failure to enforce any provision is not a waiver.
24. Governing Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
